Advise on and assist in structuring transactions
Review agreements/ancillary documents under corporate transactions/exercises, such as Term Sheets, \'Subject to contract\' documents, NDAs, JV agreements, shareholders\' agreements, share capital reduction exercise, collaboration agreements, banking documents, facility agreements, security documents, IOMs
Participate in legal due diligence where required, review and comment on documents such as due diligence planning memorandums, circulars, announcements and offer documents
Negotiation with external parties in corporate transactions, such as contractual counterparties and external lawyers
Monitoring transaction CPs, execution of documents, and post-transaction matters to ensure corporate transactions are closed out successfully.
Review agreements/ancillary documents and providing ad-hoc advice to assist the operation of the Group\'s various JVs and other ventures with external parties
Prepare, revise and review the Group\'s template contracts, letters, and other legal documentation

Advise business units on the approval limits and processes for legal documentation
Intellectual Property
Under the overall supervision of the Head of Legal, manage the Group\'s Intellectual Property portfolio, including the Trademark and Brand Licensing Agreement with Sime Darby Malaysia Berhad (including the renewal of the TBLA) and review of the Group\'s policies and authorities on IP/branding
Facilitate the Group\'s trademark, copyright and patent applications and appeals to MyIPO
Application of intellectual property law in day-to-day support and advise of the business team (Trademarks Act 2019, Copyright Act 1987, Patents Act 1983, IP common law)
monitoring, protecting and defending the Group\'s IP from civil and criminal infringement
Provide advice and facilitate the Group\'s negotiations and settlement of IP disputes with external party, including where the Group may be the infringing party and not the infringed party

Advise on and review agreements and documents for IP matters, including negotiation with external parties where necessary
Advisory and dispute resolution
Apply the NLC 1965, Contracts Act 1950, Specific Relief Act 1950, EPU Guidelines, HDA Act 1966, Bursa listing requirements and all other relevant legislation which may be applicable to the Group\'s Business Unit in relation to Transactions and disputes arising.
Assist in dispute resolution matters and also SPA unit matters by carrying out research, providing verbal/written opinions, support in litigation matters
Analyse relevant laws and apply the same in order to advise business units as and when necessary (e.g. Criminal Procedure Code, Multimedia and Communication Act 1998)
Advise/assist business units in the handling of disputes with stakeholders (such as nearby residents) and requests from the authorities

Assist the dispute resolution unit in resolving disputes outside courts, e.g. working with external counsel on opinions and strategy, carrying out research, reviewing letters of demand, settlement letters, revising agreements, etc
Operational
Review and advise on operational matters and transactions, e.g. tenancies, letters of appointments, services agreements, NDAs, SPAs, cost sharing agreements
Assist the Head of Legal and Legal Manager of the Corporate/Commercial & IP Unit in monitoring and managing the workflow and workload of the Corporate/Commercial & IP unit
Enhancing Legal Knowledge
Providing internal training to the company, preparing/reviewing legal alerts, carrying out research, liaise with lawyers for external training to the company.
Impact / Accountability
1. Indirect impact on Group\'s costs and revenue, assisting the Group\'s business units in completing commercial and corporate transactions and also in decision-making, reducing the need to rely on/engage external legal advice
2. Monitoring of external legal counsel work and negotiations over billing to reduce the Group\'s costs
Education/Professional Qualification
Bachelor of Laws / Bachelor of Commerce or any related field
