Your Role and Responsibilities

• The successful candidate will be responsible primarily for contract drafting, commercial negotiation, including assisting relevant business lines in resolving queries or conflicts involving interpretation of contracts entered into by, and laws/rulings/regulations applicable to, the company and developing/updating contract templates for customary third-party engagements. The candidate will also be providing legal advice and support to IBM general businesses in Malaysia, which includes handling processes as may be required by IBM from time to time. The candidate will also be expected to provide support for compliance and ethics matters as well as regulatory and employment-related functions.
• This role is primarily based in Bandar Utama, Selangor, Malaysia.
• As the successful candidate develops his/her role, he/she may be expected to perform other roles within the country or other regional roles.
• The candidate will perform a vendor and customer facing role.
• You will perform other legal services and support as the Country Counsel, Malaysia directs/instructs.
• Preparing, reviewing, negotiating and advising on all aspects of contracts and its terms. This includes assisting relevant business lines with contract drafting, preparation and responses to proposals, mark-up of contracts and RFP/RFIs, commercial negotiations, and contract administration.
• Providing advice on a broad range of corporate, commercial, regulatory, compliance, data privacy, employment, litigation, and other legal issues of relevance to IBM.
• Providing support to the supply chain/procurement function and IBM global functions (as needed).
• Working with various business lines and functions, including IBM\xe2\x80\x99s finance, human resources, regulatory and risk management teams, to provide solutions consistent with the IBM\xe2\x80\x99s corporate policies.
• Ensuring documentation is maintained, and that organizational memory is retained, within the corporate business group.
• Providing education on contracts and compliance issues (including local laws, business integrity, ethics, FCPA, and GDPR).
• Handing claims by and against the company, and assists with the preparation for litigation or arbitration proceedings, including the coordination of efforts by corporate staff and outside counsel. Develops ongoing and future strategies to avoid potentially damaging legal situations regarding product development, marketing strategies, etc. which often involves working closely with internal management teams and IBM counsels representing other countries to ensure appropriate implementation.

• Country Counsel, Malaysia

• IBM primarily means IBM and all its affiliates in Malaysia, and in certain instances some of its affiliates outside Malaysia.

Required Technical and Professional Expertise

• Absolute commitment to business integrity and ethical conduct.
• A degree in law and legal qualification in Malaysia.
• Minimum 7 years\xe2\x80\x99 legal experience in Malaysia, preferably solid in-house counsel experience with a multi-national corporation or a combination of experience as private practice attorney and as an in-house counsel.
• Demonstrated ability to influence contract structure and business decision making for the benefit or advantage of IBM.
• Demonstrated success in negotiating large and complex deals in complex situations.
• Ability to handle multiple deals/matters concurrently.
• High level of proficiency in written and spoken English.
• Experience in international contracting matters.
• Previous exposure in IT-related industry is an advantage.
• Excellent drafting and negotiations skills.
• Ability to give advice with an eye as to the commercials of a matter.
• Able to multi-task and work in an agile, dynamic and fast paced environment, and to meet critical deadlines.
• Able to work well both independently and as part of a team.
• Able to communicate well and work in a cross-functional team to achieve common goals.
• Able to identify and escalate issues timely and appropriately.
• Strong analytical and communication skills.
• Independent and self-motivated.
