Job Description

You will be assisting the Chief Operating Officer and Company Secretary in facilitating all aspects of corporate secretarial functions and supports the coordination of Board / Shareholders and Corporate Governance matters and responsibilities.

  • Assisting in Board / Shareholder meetings, preparing, distributing notices, attending Board meetings to ensure minutes are recorded
  • Coordinating the General Meetings, arranging for Directors' Circular Resolutions, certification of statutory documents, updating and maintaining all relevant statutory records
  • Facilitating the process in relation to changes in shareholders
  • Maintaining proper records including - terms of reference, remuneration policy, annual assessment of effectiveness, declaration of compliance, conflicts of interests etc
  • Monitoring any changes to the Company's Memorandum & Articles of Association
  • Assist in preparation of dividend list of shareholders & dividend warrants & subsequent dispatch to shareholders
  • Attend to all correspondences, requests, personal and telephone enquiries from shareholders, directors, Company Secretary and other interested parties in connection with company secretarial matters
  • Preparing for the application for appointment / re-appointment/ resignation and termination of directors /signing actuary / external auditor to relevant authorities and update eAPPS accordingly
  • Ensuring compliance with the Company's policies and procedures, Guidelines and Circulars issued by BNM and PIAM as well as requirements of the Financial Services Act 2013 (FSA 2013) and Companies Act 2016 (CA 2016) and any other relevant statutory and legal requirements in relation to Board / Shareholders matters
  • Performing other functions and duties as required by superior from time to time
Established Global MNC|Hybrid Work Arrangement
  • Degree holder with MAICSA certification or Company Secretarial License from the SSM
  • Bachelor of Laws (LLB) holders would be an asset
  • At least 5-7 years of company secretarial experience in the financial services or insurance industry would be preferred
  • Excellent written and communication skills
