JOB SUMMARY:

Scope:

\xc2\xb7 Manages small teams and/or work efforts (if in an individual contributor role) at a client or within Accenture.

KEY RESPONSIBILITIES:

\xc2\xb7 Responsibly support the Merger and Acquisitions (M&A), V&A Procurement Plus, Contracting and Legal Integration and other Legal Services teams as part of the Acquisitions Team in different geographies.

\xc2\xb7 Document, review and draft terms and conditions of different types of agreements (e.g. master agreements, software agreements, statement of works, non-disclosure agreements, proposals, change orders, etc.) and other documents relating to various target companies, operating groups in accordance with company policies and procedures, applicable laws, and stakeholders\xe2\x80\x99 requirements.

\xc2\xb7 Supervise lower levels or coordinate small working teams for specific projects, assist GLN Acquisitions Leads in the coordination of the team and collaborate with other colleagues, coordinators, stakeholders and leadership, track deliverables and perform other duties as required.

\xc2\xb7 Interact and coordinate with Accenture M&A Lawyers, Legal Integration Leads and V&A Procurement Plus Leads on the revision of Data Rooms material, in particular executed clients and supplier contractual material of the target companies.

\xc2\xb7 Responsibly provide Legal Integration support for new acquired companies (e.g., point of contact: \xe2\x80\x9cface of Legal\xe2\x80\x9d for Acquisitions team for contracting needs; identify risks, propose/draft solutions and negotiate agreements; support the business\xe2\x80\x99 compliance with obligations and risk mitigation, support new Accenture executives transition to Accenture\xe2\x80\x99s way of contracting, etc.).

\xc2\xb7 Train team members and developing checklists and process documents for reviewing, analyzing and drafting Non-Disclosure Agreements (NDAs), Request for Proposals (RFPs), Proposals, Arrangement Letters/Statement of Work, Local Country Agreements, Master Services Agreements, etc.

\xc2\xb7 Directly liaising with internal stakeholders and deal teams on various legal and commercial issues.

\xc2\xb7 Maintain contract / subcontract compliance in line with company policies and procedures and ensures issues are resolved.

\xc2\xb7 Responsible for providing individuals with positive and developmental feedback and support any specific training initiative.

\xc2\xb7 Responsibly works at smaller engagements and/or works within team at a large, complex engagement.

\xc2\xb7 Ability to introduce and suggest process measures for ad-hoc and new service lines.

QUALIFICATIONS:

Minimum JLPT N2 required.

Education:

\xc2\xb7 Bachelor\xe2\x80\x99s degree in Law.

KNOWLEDGE AND SKILL REQUIREMENTS:

\xc2\xb7 Preferably 6 years\xe2\x80\x99 + of experience at law firm and/or as in-house counsel and experience in coordinating a group of work.

\xc2\xb7 Knowledge of M&A transactions, due diligence revisions, general corporate business practices, commercial contracting regulations, subcontracting practices, accounting and finance principles; and ability to apply skills creatively to diverse stakeholder needs.

\xc2\xb7 Ability to effectively communicate with executives at all levels of the organization.

\xc2\xb7 Good time-management, prioritization, organizational, problem solving skills.

\xc2\xb7 Demonstrates ability to consistently undertake contract review and drafting to a reasonable standard with limited external inputs.

\xc2\xb7 Displays a high level of responsiveness and follows through on commitments.

\xc2\xb7 Detail-oriented, sound judgement, organized, and flexible.

\xc2\xb7 Demonstrates a specialized subject-matter experience.
