The ideal candidate will provide legal advice and work on business mergers and acquisitions (M&A), initial public offerings (IPOs), corporate restructuring, corporate finance, due diligence and commercial matters.
The role requires a strong understanding of Malaysia's corporate and commercial laws, regulations, and securities compliance to support the organization's strategic business transactions.
JOB RESPONSIBILITIES
Provide legal advisory services on corporate transactions, including M&As, IPOs, and corporate restructuring.
Draft, review, and negotiate share sale agreements, shareholder agreements, prospectus and corporate documentation and conduct relevant due diligence.
Ensure compliance with Malaysia's legal framework, including the Companies Act 2016, Capital Markets & Services Act 2007, SC Guidelines and Bursa Malaysia listing requirements.
Liaise with Securities Commission Malaysia (SC), Bursa Malaysia, Bank Negara Malaysia (BNM), and other regulatory bodies for legal approvals and compliance matters.
Handle risk management by identifying potential legal risks and recommending mitigation strategies.

JOB REQUIREMENTS
Bachelor of Laws (LLB) from a recognized university. A Master of Laws (LL.M) is an added advantage.
Admitted to the Malaysian Bar as an Advocate & Solicitor.
Minimum of 6 years' experience in corporate laws contemplated in the job scope above.
Strong understanding of Malaysia's corporate legal framework and international business regulations.
Proven experience handling large-scale M&As, IPOs, and corporate restructuring.
Excellent drafting and negotiation skills.
Strong analytical and problem-solving abilities.
Ability to work under pressure and meet tight deadlines.
Excellent communication and stakeholder management skills.
