Job Description


:

: * Execute effectively in the Divestment business activities through execute financial due diligence (as required), review and negotiate key agreements terms in various relevant agreements such as Sales & Purchase Agreement (\xe2\x80\x9cSPA\xe2\x80\x9d), Term Sheet, etc., review and negotiate other related agreement, manage settlement of financial commitments and facilitate timely handover to Finance Operations in case of partial divestment, evaluate opportunities from the integrated value chain perspective, in order to maximize value for PETRONAS and to ensure that PETRONAS Group\'s interest financial interest are protected in the divestment exercise.

  • Execute Investment / Acquisition activities appropriately by reviewing and negotiate bidding protocol and model or framework agreements, execute the financial due diligence exercise, execute financial commitments after completion of negotiation and signing of the agreements and evaluate opportunities from the integrated value chain perspective, in order to maximize value for PETRONAS and to safeguard PETRONAS Group\'s financial interest are protected.
  • Develop a proposal on establishment of Special Purpose Vehicle (\xe2\x80\x9cSPV\xe2\x80\x9d) for Divestment or Acquisition or Bid Exercise that have optimum corporate structure and funding structure, including the issuance of Corporate Guarantee, provide regular updates to the Management especially prior to Board meetings and Management Committee meetings, provide governance advice with reference to Upstream/PETRONAS LOA and provide recommendations for future projects and financial implications to ensure company statutory and financial obligations are met within the prescribed timeline and aligned to company\'s strategy.
  • Execute the financial risk assessments, special financial transactions and credit counterparty assessment to governing policies, guidelines and risk impact to Upstream companies, responsible in the preparation of Trade Receivable Reporting for Upstream by evaluating and generate report on the credit risk of Upstream trade receivables to ensure business activities are governed by appropriate policies and procedures and risks are managed in accordance with consistent Group wide policies.
  • Provide recommendations on financial and commercial terms in respect of Profit-Sharing Contract (PSC), Joining Operating Agreement (JOA), Acquisition Agreements, divestment and other related oil and gas arrangements with host government and partners in compliance with prevailing fiscal regimes and best industry standards & practices to ensure that PETRONAS\' interests are protected.
Qualification:
  • Degree in Accounting/Economics/Commerce or any related discipline.
  • Possess professional qualification in accounting such as Association of Chartered Certified Accountants (ACCA), Institute of Chartered Accountants in England and Wales (ICAEW), Malaysian Association of Certified Public Accountants (MICPA) and/or Chartered Accountants Australia & New Zealand (CAANZ) would be an added advantage.
Requirement:
  • Minimum 7-9 years in oil, gas & petrochemicals industry.
