Job Description


:Responsibilities

  • Legal Strategy: lead the development and implementation of legal strategy to enhance and safeguard the company\'s interests and reputation. Contribute to the company\'s strategy and decision-making processes alongside other departmental leaders to enhance business growth and maintain the legal integrity of business directions.
  • Legal Services: direct the delivery of legal services and resources to effectively mitigate UEM Edgenta and its subsidiaries\' business and organizational risk and issues, both locally and abroad, in contributing towards the corporate and business goals.
  • Internal Legal Consultant/Advisor: act as internal legal consultant/ advisor and provide legal advice and solutions to UEM Edgenta and its subsidiaries on:
  • Contractual issues
  • Legal structure advisory - issues pertaining to concession agreements, joint ventures, and corporate restructuring
  • Corporate and operational legal matters - mergers and acquisitions, joint venture agreements, consultancy agreements, service legal agreements, corporate proposals
  • Litigation matters
  • Conveyancing matters
  • External Legal Advisory Management: guide and manage the sourcing and delivery of legal services by external legal advisors and solicitors, where required, to ensure service targets and expectations are met with optimum cost.
  • Commercial Negotiations: steer the provision of proactive, in-depth, legal, business-focused advice and active participation in commercial negotiations of complex contracts and commercial settlement agreements that mutually benefit customers and the company, mitigate any potential risks, and provide the appropriate contractual arrangements to maximize the company\'s position and return.
  • Intellectual Property: establish and provide business-centric legal advice and strategic direction consultation on intellectual property matters and services, including patents, trademarks, copyrights, and trade secrets to identify, secure, protect, and defend investments in intellectual assets and commercialization of the company\'s solutions to add value to the business.
  • Contemporary Legal & Regulatory Topics: evaluate, develop, and advise a holistic view of the contemporary legal and regulatory landscape and topics on legal issues, risks, new regulations, and trends that include connecting its legal capabilities across borders for timely consideration and mitigation on business strategy and operations.
  • Qualitative Legal Inputs: provide qualitative legal inputs into business decisions in adapting to geopolitical and market developments as well as increased uncertainty and heightened complexity to support the group and businesses evaluate and review its strategies, models, supply chains, and operations nationally and regionally.
  • Digital Adoption: drive digital adoption in the legal department that includes implementing technological solutions that drive efficiency and accuracy of the legal function to provide faster legal services with heightened accuracy and making available legal resources harnessing the power of the data and contributing to more strategic business initiatives.
  • Procedures & Guidelines Implementation: reinforce the implementation of applicable procedures and guidelines, affect compliance with statutory and legislative requirements, and ensure conformance to the established discretionary authority limits (DAL) to safeguard the company\'s interest, image, and reputation.
  • Stakeholder Relations: develop and maintain strategic relationships with stakeholders that include authorities and expert partners to safeguard the organization\'s interest and integrity as well as obtain insights and perspectives to enhance solutions, safeguard the organization\'s interest and integrity, and sustain productive collaboration.
  • Performance & People Development: review and improve department processes and deliveries to increase performance and productivity and drive legal efforts to the next level. Develop and raise capabilities and competencies of legal staff to enhance and sustain performance and internal succession. Role model and provide leadership, coaching, and guidance to subordinates contributing towards internalization of the right behaviors and mindsets.
Requirements
  • Bachelor of Laws LL.B (Hons) or equivalent.
  • Minimum 15 years of relevant experience in the legal area of expertise (corporate industry)
  • Knowledge of law and legal procedure, legal analytic skills.
  • High interpersonal skills: result-driven and service-driven, highly adaptable and flexible, and works comfortably in a fast-paced and dynamic environment.
  • Demonstrable track record producing effective and high-quality legal advice to departmental heads within a business, leading to enhanced integrity in both internal and external affairs.
  • Successful experience leading negotiations on complex, high-value, contracts, and agreements.
  • Ability to create departmental priorities that align with the strategic direction of the legal department and the overall business objectives.
  • Proven experience in relationship management and a demonstrated ability to lead a legal team and develop talents that subsequently drive value across the business.
  • Good leadership skills having the ability to influence cross-functional teams towards a unified direction along with the business\' senior leadership and relevant stakeholders.
