Where you fit The Legal Counsel SMDS, Malaysia will report to the Head of Legal Malaysia (\'HOL\'). The successful candidate is responsible for provision of a broad suite of legal services to SMDS and ensure compliance with laws and regulations. The successful candidate will serve as a primary focal point/member of the SMDS leadership team and is expected to be a strategic business partner. This position is expected to coordinate and collaborate with other Shell Legal Malaysia colleagues, as well as integrate with other legal/functional colleagues and subject matter legal experts, and work across business lines and departments as needs and priorities may require from time to time. What\'s the role To provide and/or act as integrator in the provision of timely, professional and fit-for-purpose legal advice and support to SMDS Participate in external negotiations with all applicable Government agencies, NOCs, other IOCs and contractors/vendors and drafting agreements to ensure that SMDS\' legal and commercial interests are well-represented and projects are delivered to meet performance targets Proactively identify commercial and legal risks and rewards, ensuring appropriate alternative commercial and legal structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities, contracting, new business/project development, including relations with relevant third parties To devise, manage and provide legal advice on SMDS related claims for and against the companies\' businesses and functions prior to and during commencement of litigation to ensure: speedy resolution of all disputes; minimizing exposure to civil or criminal liabilities; minimizing legal costs; and the interests of the companies are protected always Keep HOL appraised of material legal and commercial activities/risks/issues/developments and, as appropriate, to the AGC GTL SAU To ensure optimal use of internal and external legal resources to ensure provision of professional, timely, cost effective and commercial legal advice and support, balancing both risk and value Maximize benefits and minimize risks that could represent any kind of loss to shareholders, while delivering the business objectives. To keep the HOL appraised of legal and commercial issues and developments To ensure the proper management of corporate matters of Shell entities and upholding the principles of corporate separateness in-country. To ensure Shell\'s reputation, particularly with respect to legal issues and as an employer, is maintained and enhanced. Monitor relevant legal developments and communicate these to the relevant businesses and functions Work with commercial colleagues to develop the legal and commercial structure of existing business activities and any new business opportunities that arise Create a positive, proactive culture encouraging a learner mindset, excellent performance and collaboration Committed to and focused on continuous improvement within the overall legal team Propose strategies and provide legal support that enable safe, efficient and agile decisions in order to secure competitive advantages Role requirement Law degree and professional legal qualification with at least twelve (12) years of PQE. Extensive legal experience and incisive grasp of legal issues, demonstrated learner mindset and capability to expand knowledge in relevant areas of law and regulatory. Excellent legal and strategic judgment, coupled with strong business partnering and stakeholder management skills Successful track record of actively scanning range of external sources to identify innovative approaches and bringing them into Shell Ability to establish targeted and sustainable relationships with key internal and external stakeholders, often at senior levels Promotes a continuous improvement mindset and challenges self and others to identify and implement opportunities for improvement Ability to work with both internal and external stakeholders with diverse external background, including senior government officials, senior lawyers/business representatives Excellent business acumen, risk assessment ability and ability to balance competing interests of businesses at varied stages of their evolution Ability to develop and sustain relationships and trust with business and functions at all levels and in a range of cultures Company Description Shell has been a partner in powering Malaysia\'s progress since 1891 when we established our first depot in the Straits Settlements.
