Job Description


Role Responsibilities

\xc2\xb7 To support the Head, Legal, COE MY as a member of the Group Commercial Legal, Centre of Excellence in Malaysia. The role will have a specific focus on delivering legal advice and support to review, draft and negotiate Group technology and other commercial contracts (including amendments and renewals) with vendors and other third parties across the Group\xe2\x80\x99s global footprint.

\xc2\xb7 To provide additional legal support to the Group\xe2\x80\x99s Business Technology Legal team and Country Legal teams where required on strategic procurement matters.

\xc2\xb7 To promote a culture and practice of good conduct of business and adherence to legal standards within the Group.

Responsibilities*

\xc2\xb7 To review, advise, draft and negotiate multi-country technology and commercial procurement contracts to ensure they meet the Group\xe2\x80\x99s third-party contract standards and applicable law. This will include software, SaaS, market data and subscription licences, escrow agreements, hardware, equipment/device purchases and support/maintenance services, business process outsourcing, proof of concepts and other general goods and services agreements, including intragroup arrangements.

\xc2\xb7 Ensure close coordination with other Legal teams, for example the client business Legal teams.

\xc2\xb7 To provide helpdesk support for the Group\xe2\x80\x99s Supply Chain Management team and Country Legal teams.

\xc2\xb7 To analyse potential risks involved with specific contract teams and other risk owners.

\xc2\xb7 To keep up to date with relevant policies and procedures and applicable law.

\xc2\xb7 To provide stakeholders with accurate and timely information and advice regarding the status of technology and commercial contract matters.

\xc2\xb7 To support with continuous improvement initiatives in relation to contract processes, workflow, guidance, playbooks and templates and provide training on contract legal issues.

\xc2\xb7 To collaborate and coordinate with other legal teams across the Group to ensure appropriate overall matter management. Where external counsel is appointed, to manage the engagement, oversee the quality of work and effective delivery of legal support and to manage external legal costs.

\xc2\xb7 To support on team management and administration tasks where required.

\xc2\xb7 Responsible for adhering to the Group Contracts Policy, the Group process for supplier contracts and the Group\xe2\x80\x99s third-party risk management framework.

Qualifications*

Training, licenses, memberships and certifications

Must be a qualified lawyer in a common law jurisdiction (solicitor, attorney or barrister) with 5+ years\xe2\x80\x99 post qualification experience and have:

\xc2\xb7 a good knowledge and understanding of technology and commercial contract requirements including intellectual property and data protection. Experience of outsourcing is preferred but not essential

\xc2\xb7 A good knowledge in current technology and innovation trends (preferably in the financial industry) such as API, blockchain, digital platforms, virtual and digital banking and other FinTech initiatives as well experience in traditional technology procurement topics such as IP, Cloud, e-commerce, data privacy, information security.

\xc2\xb7 Experience in the banking industry (whether through in-house or private practice) is preferred but not mandatory.

\xc2\xb7 Experience in leading, structuring, and executing a wide variety of technology and innovation transactions with a strong emphasis on internal and external stakeholder management.

\xc2\xb7 experience in contract legal support (in-house or private practice) and business acumen

\xc2\xb7 experience in reviewing contracts using contract templates and/or using contract guidance/playbooks

\xc2\xb7 ability to draft contract terms to meet requirements

\xc2\xb7 ability to negotiate contract terms with third parties

\xc2\xb7 understanding of risk management techniques

\xc2\xb7 exemplary integrity, ethics, independence and resilience
