The role:

The role holder is responsible for review, drafting and negotiation of Commercial contracts, Construction/Fit out Contracts, MOU, NDA\'s, Marketing Agreements, Service Agreement, Promotional Campaigns, Franchise & Licensing, Distribution, IT Services, Supply Chain, Sponsorship Contracts, E-com agreements like Marketplace Contracts, Product Listing agreements, Consignment sales, Supply and Procurement agreements, Leasing and Tenancy Agreements etc. coordinating with various divisions/business units/departments of GMG particularly, GMG\'s Sports business for ensuring adherence to legal provisions and providing legal advice, to minimize and effectively manage legal exposure.

Core Responsibilities:

\xe2\x97\x8f Draft, review, negotiate, and advise on a wide range of commercial contracts, including vendor agreements, supplier contracts, lease & Tenancy agreements, and partnership agreements.
\xe2\x97\x8f Ensure contracts are aligned with company policies, legal standards, and industry best
practices.
\xe2\x97\x8f Performs pre-contract activities including drafting/review of the terms and conditions of contracts and agreements, etc.
\xe2\x97\x8f Leads the negotiation with third parties, on terms and conditions, for high-value, high risk contracts and drafts/ amends these contracts, for internal review and sign-off.
\xe2\x97\x8f Drafts initial legal contracts and other legal documentation ensuring the best interests of GMG in all dealings
\xe2\x97\x8f Keeps abreast with all local law related updates/changes which might impact the legal terms and conditions for contracts, analyzes the impact of the amendments in applicable laws of the region and redrafts the terms and conditions for the best interests of GMG group.
\xe2\x97\x8f Develop and oversee control systems to prevent or deal with violations of Contractual requirements and internal policies.
\xe2\x97\x8f Evaluate the efficiency of controls and improve them continuously.
\xe2\x97\x8f Standardization of drafts and internal processes.
\xe2\x97\x8f Project Management.
\xe2\x97\x8f Standardization of drafts and internal processes.
\xe2\x97\x8f Legal Advisory and Opinions.
\xe2\x97\x8f Prepare reports/risk assessment memos for senior management as appropriate.
\xe2\x97\x8f Collaborate with cross-functional teams to address legal concerns and manage legal disputes effectively.
\xe2\x97\x8f Protect the company\'s intellectual property rights by managing trademarks, copyrights, and patents.
\xe2\x97\x8f Conduct intellectual property due diligence and assist in the enforcement of IP rights.
\xe2\x97\x8f Assist external counsel in managing litigation matters, including product liability claims, contract disputes, and other legal proceedings.
\xe2\x97\x8f Provide support in preparing legal documentation, coordinating discovery, and representing the company\'s interests when required.
\xe2\x97\x8f Advise on data protection and privacy matters, ensuring compliance with data privacy laws and regulations.
\xe2\x97\x8f Collaborate with the IT and cybersecurity teams to develop and implement data protection strategies.
\xe2\x97\x8f Assist in corporate governance and company secretarial matters, including drafting board resolutions, maintaining corporate records, and ensuring compliance with corporate formalities.

Requirements:

\xe2\x97\x8f Bachelor\'s degree in law from a reputed university
\xe2\x97\x8f A minimum of 8 to 10 years of relevant experience with at least 3-4 years in a similar role for a large retail/diversified organization
\xe2\x97\x8f Proven experience as legal and compliance professional
\xe2\x97\x8f In-depth knowledge of Retail industry\'s standards and regulations
\xe2\x97\x8f Well adept and acquainted with legal drafting, review and negotiation
