The role:

The role holder is responsible for review, drafting and negotiation of Commercial contracts, Construction/Fit out Contracts, MOU, NDA's, Marketing Agreements, Service Agreement, Promotional Campaigns, Franchise & Licensing, Distribution, IT Services, Supply Chain, Sponsorship Contracts, E-com agreements like Marketplace Contracts, Product Listing agreements, Consignment sales, Supply and Procurement agreements, Leasing and Tenancy Agreements etc. coordinating with various divisions/business units/departments of GMG particularly, GMG's Sports business for ensuring adherence to legal provisions and providing legal advice, to minimize and effectively manage legal exposure.

Core Responsibilities:

Draft, review, negotiate, and advise on a wide range of commercial contracts, including vendor agreements, supplier contracts, lease & Tenancy agreements, and partnership agreements.
Ensure contracts are aligned with company policies, legal standards, and industry best
practices.
Performs pre-contract activities including drafting/review of the terms and conditions of contracts and agreements, etc.
Leads the negotiation with third parties, on terms and conditions, for high-value, high risk contracts and drafts/ amends these contracts, for internal review and sign-off.
Drafts initial legal contracts and other legal documentation ensuring the best interests of GMG in all dealings
Keeps abreast with all local law related updates/changes which might impact the legal terms and conditions for contracts, analyzes the impact of the amendments in applicable laws of the region and redrafts the terms and conditions for the best interests of GMG group.
Develop and oversee control systems to prevent or deal with violations of Contractual requirements and internal policies.
Evaluate the efficiency of controls and improve them continuously.

Prepare reports/risk assessment memos for senior management as appropriate.
Collaborate with cross-functional teams to address legal concerns and manage legal disputes effectively.
Protect the company's intellectual property rights by managing trademarks, copyrights, and patents.
Conduct intellectual property due diligence and assist in the enforcement of IP rights.
Assist external counsel in managing litigation matters, including product liability claims, contract disputes, and other legal proceedings.
Provide support in preparing legal documentation, coordinating discovery, and representing the company's interests when required.
Advise on data protection and privacy matters, ensuring compliance with data privacy laws and regulations.
Collaborate with the IT and cybersecurity teams to develop and implement data protection strategies.
Assist in corporate governance and company secretarial matters, including drafting board resolutions, maintaining corporate records, and ensuring compliance with corporate formalities.

Requirements:

Bachelor's degree in law from a reputed university
A minimum of 8 to 10 years of relevant experience with at least 3-4 years in a similar role for a large retail/diversified organization
Proven experience as legal and compliance professional
In-depth knowledge of Retail industry's standards and regulations
Well adept and acquainted with legal drafting, review and negotiation
