ROLE PROFILE

JOB TITLE : Legal Counsel

REPORTS TO: Senior Counsel

LEADERSHIP PASSAGE: Manage Others

FUNCTION : Legal and External Affairs (LEX)

SUB-FUNCTION : Business, Integrity & Compliance

LOCATION : Selangor, Malaysia

PURPOSE STATEMENT:

The Legal Counsel is responsible for:

  • providing specialist commercial legal advice and expertise to the Global IT function as well as leading and managing legal and regulatory risks of the Global IT function and Company in all respects
  • ensuring robust corporate and functional governance is in place for internal compliance
  • providing a high professional standard of legal support to the Company through the application of excellent counseling, drafting and negotiation skills
  • providing pragmatic and strategic advice and support to business partners and stakeholders, locally and globally
  • taking a leading role in problem-solving and decision-making in all areas of the business, and consistently working to minimize and manage commercial and legal risks
  • Managing the relevant legal budgets and ensuring optimal use of legal resources to support business and strategic objectives
WORKING RELATIONSHIP

INTERNAL:- BIC Legal and wider LEX globally, Senior stakeholders and functional leadership teams of local entities IT, Global Business Solutions and other Global functions including but not limited to Tax, Finance, Procurement and HR, Local, Regional and Global stakeholders of IT, Global Business Solutions and as advised from time to time

EXTERNAL:- External counsels, Government Authorities, Suppliers, Professional Bodies and Organisations, Regulators, where relevant (e.g. Data Protection Commissioner\xe2\x80\x99s Office).

KEY ACCOUNTABILITIES:

i) Business
  • Structuring, negotiating, drafting and advising on execution of IT transactions, including infrastructure, outsourcing, resourcing, consultancy, software licensing, maintenance and support
  • Identifying and mitigating legal and commercial risk in proposed and operational IT commercial arrangements (including in connection with data, data protection, IT security, intellectual property, HR and compliance)
  • Advising on the escalation and resolution of contractual disputes
  • Advising on supplier exit strategies and plans and related contract terminations
  • Providing guidance on the application of Group and Functional policies, procedures and governance in relation to proposed and operational third party and intra-group IT commercial arrangements, including Delegated Authorities and Contract Approval Policies
  • Preparing and presenting proposed IT transactional matters for consideration and approval by the relevant Boards of Directors
  • Instructing and managing external legal counsel, reviewing output, controlling and approving spend
  • Supporting ad hoc IT projects and transformation programmes
  • Planning and delivering internal training and awareness sessions for IT and the BIC Legal Department on a variety of commercial and risk management topics, including intellectual property for IT and Standards of Business Conduct
  • Playing a leadership/mentorship role for functional talent and deputize for the Senior Counsel in senior management and functional forums
ii) People
  • Building and driving a high-performance team who understands and delivers the strategic objectives of the company and relevant global functions
  • Developing a pipeline for an immediate and future successor
  • Driving people basics in the team to ensure all direct reports set clear roles and responsibilities for themselves (and their respective team members where relevant)
  • Driving people development responsibility with direct reports so that they put in place robust individual development plans and ensuring rigorous follow-up
  • Ability to engage and communicate at all levels in a clear and coherent manner
  • Ability to act on own initiative, applying good judgement.
  • Strong influencing and problem-solving skills; with the ability to work with peers and senior management, inspiring trust and confidence.
  • Capacity to explain highly complicated and technical issues and concepts including identification of relevant business considerations for decision
  • Ability to understand the needs of the business and express them clearly, concisely and effectively
  • Playing a leadership role within the BICl Legal team to build and sustain an effective \xe2\x80\x98One Team\xe2\x80\x99 concept
  • Demonstrating effective leadership by implementing BEST behaviors within self and team to build a culture of Accountability, Transparency, Integrity, Collaboration, Trust, Respect, Positive Attitude, Resilience and Courage
KNOWLEDGE, SKILLS and EXPERIENCE
  • Malaysia, UK or equivalent qualified lawyer with a minimum of 8 years post qualification experience, gained either in an international law firm or as in-house counsel for a major multi-national company
  • Excellent written and spoken English. Additional languages are an advantage
  • Significant experience and expertise in IT, commercial and corporate law and practice, with a proven track record of advising on complex IT outsourcing and other arrangements
  • Excellent legal drafting skills
  • Strong negotiation and project management skills, and ability to plan, anticipate and manage priorities to optimize output and enhance the effectiveness of commercial solutions
  • Hands-on and flexible attitude, sound commercial judgment and ability to work under pressure and to cope with unexpected and varied demands
  • Excellent interpersonal and communication skills and a high degree of emotional intelligence, with the ability to build trusted relationships with peers and senior stakeholders
  • Keeps up to date with changes in technology and other areas of law and corporate governance best practices to ensure that company transactional structures, documentation, policies and contract management processes remain current and commercially appropriate
