We are seeking an experienced Corporate Secretarial professional to manage a portfolio of local and international clients and ensure full compliance with statutory and corporate governance requirements. This role involves end-to-end corporate secretarial work, client advisory, and team supervision, with exposure to board and shareholder matters.
Key Responsibilities
Advise clients on statutory compliance, corporate structure, governance practices, and related corporate secretarial matters.
Manage a portfolio of local and international companies, covering incorporation, changes in corporate structure, and company dissolution.
Ensure accurate maintenance and timely updating of statutory records, forms, returns, and filings in accordance with the Companies Act 2016, Securities Commission Malaysia Act, Bursa Malaysia Listing Requirements, Stamp Act, and other relevant regulations.
Monitor and ensure all statutory reporting and filings are completed accurately and within prescribed timelines, aligned with corporate governance best practices.
Draft resolutions, minutes, and other corporate secretarial documents, and handle submissions to relevant authorities.
Assist the Director in organizing and coordinating Board of Directors' Meetings (BODMs), Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs), ensuring full statutory and procedural compliance.
Liaise with clients, auditors, tax agents, legal advisors, and relevant government authorities on corporate secretarial matters.
Handle client onboarding and acceptance processes, including KYC checks and compliance requirements.
Support business development activities by attending to new client enquiries, preparing proposals, and assisting with client onboarding.
Proactively manage client relationships, handle escalations, and manage client expectations to ensure satisfaction and long-term engagement.
Review and supervise teammates' work before submission to clients.
Perform other ad-hoc duties and assignments as directed by management.
Requirements
Minimum Diploma in Corporate Administration or a related field.
At least
3-5 years
of relevant working experience in corporate secretarial practice.
MAICSA membership is preferred.
Strong knowledge of the Companies Act 2016 and other relevant corporate laws and regulations.
Familiarity with corporate secretarial platforms and systems such as
MYCOID, MBRS, MYDATA, and e-Info
is an advantage.
Proficient in
MS Office
, particularly MS Word and MS Excel.
Excellent problem-solving, organizational, and multitasking skills.
Strong attention to detail and ability to meet deadlines.
Required languages:
English, Bahasa Malaysia, and Mandarin
(Mandarin proficiency is an advantage for handling Mandarin-speaking clients).
