Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.We are currently seeking an experienced professional to join this team in the role of Senior Legal Counsel, Prime Brokerage.Role Purpose:

  • To support and facilitate growth in (a) the Asia Pacific Prime Brokerage franchise (both for Equity Prime Brokerage and FX Prime Brokerage), (b) our Market\xe2\x80\x99s Clearing business (both for Exchanged Traded Derivatives and OTC Client Clearing), (c) FX Global Intermediary Services (FX Overlay) and (d) other Securities Financing business lines such as Repo, SBL and Collateral Treasury product functions.
  • This role reports to the ASP Head of Securities Financing in Global Legal Services (GLS) which is the arm of the Global Legal Function that is responsible for the management of client trading and ancillary documentation for the Markets and Securities Services business and for Banking Products.
Principal Responsibilities:Impact on the Business/Function
  • Primary responsibility is the timely, consistent and effective negotiation of Traded Markets Documentation upon request from group relationship managers and group offices offering a client friendly service to both internal and external clients to help our internal clients facilitate their business.
  • Understand, follow and demonstrate compliance with all relevant internal and external rules, regulations and procedures that apply to the relevant conduct of business.
  • Work closely with the onboarding functions, and in particular with the Client Management Group to ensure that the client service offering across Banking Middle Office is unified and seamless.
  • Liaise with RMs, Trading, Sales, Legal, Credit, Operations, Tax and other internal clients and stakeholders to ensure that the appropriate terms are included in all agreements to ensure the effective protection of the Bank in line with Group policies and procedures.
  • Adhere to performance standards with respect to turnaround times and escalation/abandonment guidelines agreed with business partners.
  • Comply with Audit, Compliance, Legal and Risk Management requirements (including Treasury Documentation Policy).
  • Provide guidance and advice relating to traded products master agreement documentation (including for mandatory margin rules) to internal clients where required.
  • Oversee the creation and maintenance of appropriate records, databases/systems and filing systems (including the Central Documentation Database, excel spreadsheets, etc.). Ensuring that documentation information is accurately recorded on appropriate systems and all management reports are produced in a timely fashion.

  • Provide prompt, commercial, practical and high quality legal advice to all relevant business areas.
  • Be proactive in the provision of legal support and in advising the relevant function promptly of material legal developments and their implications.
  • Ensure relevant parties are fully briefed on major issues arising in relevant business area and major legislative changes in area of expertise
  • Build and maintain positive and effective relationships with internal and other appropriate external parties.
  • Deliver fair outcomes for our customers and ensure own conduct maintains the orderly and transparent operation of financial markets.

  • Develop and recommend changes and improvements to operating models, procedures and practices based on subject matter expertise and understanding of HSBC and market best practice.
  • Communicate and adhere to HSBC policy and procedures in order to ensure good operational, financial and project management, policy and procedural compliance and early identification and effective resolution or escalation of issues that arise.
  • Contribute to the development, implementation and maintenance of a management information, analysis and reporting framework that supports and informs timely and effective business management and decision making at all levels for the relevant area of Global Legal.
  • Contribute to the implementation and monitoring of the application of relevant policies, governance frameworks, procedures, practices and standards to ensure quality, effective risk management and regulatory compliance
Requirements
  • Legal background (qualified lawyer or law degree) with strong prior experience in advising on (a) Equity PB and FX PB arrangements, (b) Bilateral and Cleared (OTC/ETD) Derivatives, and also preferably on (c) a wide range of Securities Financing structures.
  • Strong knowledge of key concepts / terms in relation to (a) Prime Brokerage documentation and a good grasp of industry standard documentation for equity derivatives generally, and (b) Exchange Traded Derivatives \xe2\x80\x93 including CCP related matters - and OTC Client Clearing services.
  • Minimum 5 years\xe2\x80\x99 hands-on experience in advising on and drafting bespoke derivatives and/or securities financing documentation.
  • Prior experience in a similar role.
  • Strong English language skills, and Chinese (Mandarin) skills preferred.
