Company Secretary Senior Manage
r. In this role, you will support corporate governance, assist the Board of Directors, ensure compliance with regulations, and maintain corporate records. You'll also help with regulatory reporting, shareholder relations, and risk management. This role is ideal for someone organized, detail-oriented, and eager to contribute to the company's governance and operations.
Job Responsibilities:
Corporate Governance
: Assist in developing and implementing corporate governance frameworks, policies, and procedures.
Board Support
: Provide support for the Board of Directors and its committees, including organizing and preparing agendas, board packs, and meeting minutes. Assist in coordinating and facilitating board and committee meetings.
Compliance Management
: Ensure the company complies with regulatory requirements, including corporate laws and relevant regulations. Monitor regulatory changes and assess their impact on company operations.
Regulatory Reporting
: Prepare and assist with submitting regulatory filings, such as financial statements, annual reports, and other disclosures.
Shareholder Relations
: Help manage relationships with shareholders, maintain shareholder registers, and assist with organizing annual general meetings and other shareholder meetings.
Corporate Records Management
: Maintain accurate corporate records, including resolutions, minutes, and statutory registers.
Risk Management
: Collaborate with the risk management team to ensure compliance with risk policies and identify potential risks.
Corporate Secretarial Support
: Support the company secretary in drafting resolutions, maintaining statutory books, and fulfilling other secretarial responsibilities as required.
Job Requirements:
Bachelor's degree in law, corporate administration, or a related field. A professional qualification in company secretarial practice is a must.
Prior experience in a company secretarial or governance role is advantageous.
Knowledge of corporate governance principles, regulatory requirements, and best practices.
Strong communication and interpersonal skills to collaborate with internal and external stakeholders.
Attention to detail, analytical thinking, and problem-solving abilities.
Good organizational and time management skills to handle multiple tasks effectively.
Proficiency in using company secretarial software, MS Office Suite, and other relevant tools.
