A leading property development company is currently seeking a high-calibre Senior Manager, Legal (Corporate). In this job, you will join their legal team based in the Selangor HQ. About the Senior Manager, Legal (Corporate) Role:
Reporting to the Head of Legal, you will play a vital role in providing all range of legal advisory, support, and services to the group on all operational, day-to-day matters, and projects undertaken by the group on various commercial and corporate transactions/matters. Key Responsibilities:

• Rendering advice on numerous matters which include but not limited to commercial and corporate transactions, legal support to business units such as Sales and Marketing, Corporate Communication, Human Resources, Credit, Finance, Land Admin and Land Management Departments with the company\xe2\x80\x99s best interests in mind and to meet the commercial objectives of the group, and advising on relevant legal and regulatory requirements
• Preparing, advising and/or reviewing agreements/ancillary documents, negotiating with external parties on various matters as well as participating in corporate exercises, e.g. legal due diligence, prospectus, information memorandum, circulars, announcements and offer documents, mergers and acquisitions and takeovers, including cross-border transactions, acquisition and disposal of assets and businesses, domestic and overseas joint ventures and collaborations, setting up of a fund, share sale agreements, land matters, fund raising projects and management of legal costs for both local and foreign external lawyers, etc.
• Drafting, advising and/or vetting agreements/ancillary documents involving IT related contracts/documents, tenancy/lease agreements, NDAs, consultancy contracts and other operational contracts, prospectus, trust deed and membership agreements, banking facilities and project financing agreements including term sheets, letters of offer, facility agreements and other security documents, corporate banking and project financing documentation including Islamic financing documents
• Providing advice on Group\xe2\x80\x99s IP matters including facilitating the Group\xe2\x80\x99s trademarks, copyright and patent application, day-to-day support and advise on the application of IP Law to the group\xe2\x80\x99s business, and advising/reviewing IP agreements to protect the Group\xe2\x80\x99s ability to commercialise its intellectual property, monitoring, protecting, and defending the Group\xe2\x80\x99s IP from civil and criminal infringement, monitoring the Trademark Brand and Licensing Agreement including the renewal process
• Collaborating with relevant business unit(s) to assist with major land acquisition or disposal including exercise of call options as well as with built to suit and lease matters including prepare, review and comment on the letter of intent/offer, term sheet, agreement to build and lease/let and lease/tenancy agreement

To succeed in this Senior Manager, Legal (Corporate and Commercial) role, you will need to have the ability to work effectively and co-operatively with both the internal and external stakeholders, across borders and internal matrix, coupled with the following traits. Key Requirements:

• Law degree from a recognised university or from an accredited law institution with at least 10 - 15 years of post-qualification experience
• General corporate/commercial experience or candidates who come from private practice will be viewed favourably. Candidates who have rendered legal advisory and support or familiar with mergers and acquisition/real estate/conveyancing work are encouraged to apply
