Job Description

  • Act as the main coordinator for corporate governance activities, encompassing risk management, crisis management, business continuity planning, and ABAC compliance.
  • Coordinate with the Company Secretary on secretarial matters, including preparing Board and members' resolutions, reviewing meeting notices for Board and Committee meetings, and assisting with other related secretarial duties as needed.
  • Draft, review, and compile Board papers, meeting minutes, resolutions, and statutory documents to ensure accuracy and compliance.
  • Oversee and review resolutions, annual returns, and meeting minutes to ensure all statutory documents are filed accurately and on time in compliance with regulatory requirements.
  • Ensure statutory records are accurately maintained and regularly updated.
  • Plan, organize, and manage Board meetings, AGMs, EGMs, press briefings, and other major corporate events.
  • Oversee the preparation, coordination, and timely submission of the Company's Annual Report, ensuring full compliance with Bursa Malaysia's requirements.
  • Collaborate with the Company Secretary, Finance, and ESG teams to ensure all disclosures are accurate, comprehensive, and submitted on time.
  • Draft and review corporate announcements and public disclosures to ensure compliance with Bursa Malaysia's listing requirements.
  • Review and assess contracts, agreements, and legal documents to protect the Company's interests.
  • Identify potential legal and compliance risks, propose effective mitigation strategies, and ensure thorough documentation.
  • Serve as the key liaison with external legal counsel and oversee the management of legal costs and fees.
  • Maintain a well-organized and secure system for legal documents and records.
  • Create corporate write-ups, investor presentations, press releases, and communication materials for stakeholders.
  • Manage and coordinate investor relations activities, including analyst briefings, site visits, stakeholder engagement sessions, and media events.
  • Foster and maintain strong relationships with shareholders, analysts, regulators, and media to promote transparency and enhance the Company's corporate reputation.
  • Execute special projects and assignments as directed by Senior Management, ensuring alignment with the Company's strategic goals.
Requirements
  • Bachelor's Degree in Corporate Administration, Business Administration, Law (LLB), or a relevant discipline.
  • Professional membership with MICSA, MIA, or other relevant professional bodies will be an added advantage.
  • At least 7 years of relevant experience, ideally within the property development or construction industry.
  • In-depth knowledge of public-listed company operations, Bursa Malaysia Listing Requirements, and stakeholder engagement practices.
  • Thorough understanding of the Companies Act 2016, Listing Requirements, Corporate Governance frameworks, and other applicable regulations.
  • Strong command of written and spoken English, with the ability to craft professional reports, presentations, and communications.
  • Exceptionally organized with strong time management skills, able to manage multiple projects and meet deadlines independently.
