:
Works directly with the General Counsel, Assistant General Counsel, Senior Counsels, paralegals around the globe and all other lawyers within the legal department in meeting the needs of Tech Data\xe2\x80\x99s diverse client base. Manages the corporate records, books and minutes, and maintenance of corporate entities. Maintains departmental policies and procedures. Drafts transactional documents, prepares subsidiary and corporate resolutions, and assists in securities and other regulatory compliance.
Responsibilities:
Manages the corporate entity and document database. Support to regional lawyers and paralegals. Monitors and ensure corporate compliance.
Maintains corporate records and minutes for the corporation and its subsidiaries. Manages the corporation\xe2\x80\x99s external service provider regarding filings made in connection with the corporate secretary function. Makes filings in appropriate jurisdictions. Creates and dissolves legal entities.
Coordinates the execution, notarization and legalization of various legal documents.
Manages incoming requests and the approval process for international subsidiary documentation.
Organizes and assists with the preparation of board and committee meetings and materials.
Manages annual meeting preparation and documentation.
Drafts intercompany form agreements and maintains databases.
Assists in the drafting of transactional and other legal documents involving the corporation and its subsidiaries.
Maintains corporate forms.
Engaged on treasury, finance and tax projects.
Performs additional duties as assigned.

Paralegal degree from certified educational institution or certification as a legal assistant from the National Association of Legal Assistants preferred.
Minimum of 8 years of relevant legal experience preferred.
Experience in corporate/commercial law preferred.
Able to maintain confidentiality of sensitive information.
Competencies:
Knowledge of Blueprint OneWorld and ability to learn and utilize other internal systems.
Education:
Bachelor\xe2\x80\x99s degree and Paralegal or Corporate Secretary Certification
