Job Purpose
To manage, review, and advise on all contract-related matters for the company and its subsidiaries, ensuring that agreements comply with statutory and corporate requirements while minimizing legal risks and safeguarding the company's interests.
Key Responsibilities
1) Contract Management
- Draft, review, and finalise various types of contracts, including service agreements, vendor contracts, client agreements, and NDAs.
- Ensure all contractual terms align with the company's policies, legal requirements, and business objectives.
- Maintain a centralised contract register and ensure proper documentation control for all agreements.
2) Legal Advisory
- Provide professional legal advice on contract interpretation, obligations, and risks.
- Advise internal departments on contract-related matters to ensure compliance and mitigate potential disputes.
- Highlight legal exposures and propose appropriate clauses or risk mitigation strategies.
3) Coordination & Liaison
- Work closely with internal stakeholders to support contract related processes.
- Liaise with external legal counsels when necessary to obtain specialized opinions or to support negotiations.
- Compliance & Reporting
- Ensure all contracts comply with Malaysian laws and relevant regulations.
- Keep management informed of any significant legal updates or contractual risks.
- Prepare periodic reports on contract status, renewal dates, and potential risk areas.
