The Role Responsibilities

Job Purpose

  • To support the Corporate, Commercial & Institutional Banking (\xe2\x80\x9cCCIB\xe2\x80\x9d) Business and Legal Team and Group Commercial Legal on day to day legal, operational and administration matters as a member of the Legal Centre of Excellence based in Kuala Lumpur.
  • To promote a culture and practice of good conduct of business and adherence to a standards within the Group
Responsibilities
  • To review, advise, draft and negotiate client lending documentation, NDAs and other ancillary client documentation to ensure that they meet the Group\xe2\x80\x99s policies and standards and applicable law, including against internal checklists and liaising with CCIB Business and Legal teams in relation to the same. The scope of the role is global and will cover each of the CCIB Business and Product areas.
  • To review client lending documentation to ensure that it meets the Group\xe2\x80\x99s policies and standards, including against internal checklists and liaising with CCIB Business and Legal Teams in relation to the same.
  • To assist with client contractual queries from the CCIB Business and Legal Teams, including contract reviews and research, risk assessments and the preparation of advice and reports.
  • To collaborate with and assist other legal teams across the Group to ensure appropriate overall matter management, including addressing product-specific considerations and local law requirements. Where external counsel is appointed, to support the management of the engagement.
  • To analyse potential risks involved with specific contract teams and other risk owners.
  • To provide stakeholders with accurate and timely information and advice regarding the status of contract matters and other matter reporting.
  • To assist with continuous improvement initiatives in relation to the contract process, workflow, stakeholder guidance, playbooks and templates.
  • To keep up to date with relevant Group policies and standards and applicable law.
  • Responsible for adhering to the Group Contracts Policy, applicable product Legal DOIs and any CCIB Compliance policies and frameworks / playbooks relating to specified client activity.
  • To support with continuous improvement initiatives in relation to contract processes, workflow, guidance, playbooks and templates and provide training on contract legal issues to legal teams and other stakeholders.
  • To collaborate and coordinate with other legal teams across the Bank to ensure appropriate overall matter management. Where external counsel is appointed, to manage the engagement, oversee the quality of work and effective delivery of legal support and manage external legal costs.
  • To support on team management and administration tasks where required
  • To provide guidance to, and development of, junior members of the team.

Our Ideal Candidate

Must be a qualified lawyer in a common law jurisdiction (solicitor, attorney or barrister) with 5+ years\xe2\x80\x99 post qualification experience and have:
  • Must completed Bachelors/Master of Law in international universities (Not Local Malaysia Universities)
  • A good knowledge and understanding of technology and commercial contract requirements including intellectual property and data protection. Experience of outsourcing is preferred but not essential
  • A good knowledge in current technology and innovation trends (preferably in the financial industry) such as API, blockchain, digital platforms, virtual and digital banking and other FinTech initiatives as well experience in traditional technology procurement topics such as IP, Cloud, e-commerce, data privacy, information security.
  • Experience in the banking industry (whether through in-house or private practice) is preferred but not mandatory.
  • Experience in leading, structuring, and executing a wide variety of technology and innovation transactions with a strong emphasis on internal and external stakeholder management.
  • Experience in contract legal support (in-house or private practice) and business acumen
  • Experience in reviewing contracts using contract templates and/or using contract guidance/playbooks
  • Ability to draft contract terms to meet requirements
  • Ability to negotiate contract terms with third parties
  • Understanding of risk management techniques
  • Exemplary integrity, ethics, independence and resilience

  • Technical proficiency: MS Word, MS Excel, MS PowerPoint and willingness to learn and use new template management applications;
  • Fluent in English (spoken and written);

  • Ability to appreciate the importance of how digitisation and technology impacts our documentation systems and framework.
