In this management role, the Legal Director, Transactions, handles strategic leadership and works closely with legal staff globally, the AMEA Legal Leadership Team of Directors and AMEA Leadership board of directors, and Kellogg North America company executives.

Based in Malaysia and leading the AMEA wide Regional transactions centre of excellence, the role is responsible for setting and delivering the Legal Transactions strategy, based on business objectives and legal risk assessments in alignment with the larger organizational goals and Key growth strategy for the AMEA wide regional markets and the AMEA legal department.

HERE\xe2\x80\x99S A TASTE OF WHAT YOU\xe2\x80\x99LL BE DOING

  • Tasked with co-leading critical regional or global projects alongside Regional GC including but not limited to critical projects in the AMEA Regional Strategy.
  • Play a key role in the Kellogg Legal Team, as a keen team player, and importantly a strong commercial partner to the broader AMEA Regional business, contributing to the growth and constant evolution of the Global Legal and Compliance Department as well as the in market business units within AMEA.
  • Leading all legal aspects over all key supply chain projects Region wide including the setup of greenfield Manufacturing Plants, Plant improvements to meet regulations in local markets, support to the Supply Chain team on all Network efficiency projects and contracting lead on all major CAPEX projects for the Region in close partnership with Engineers to scale Kellogg regional operations.
  • Provide higher visibility of legal matters and an undeniable counsel to staff in all departments on a variety of complex issues. Identify, research, and analyse legal issues that affect the Organization and its activities at the local, Regional and international levels associated with the Companies\xe2\x80\x99 regional activities, ongoing operations, and strategic initiatives.
  • Input into and create opportunities to implement staff-friendly plans on EDI, show leadership in driving the inclusive culture of the organisation.
  • Lead complex legal projects that span legal, business, and functional boundaries (e.g., policy changes, subject matter areas like competition laws);
  • Co-lead in relationship management and legal guidance to global Procurement vendor and vendor staff in the Region (circa 8 people) to deliver required KPIs with excellence.
  • Manages all Direct and Indirect supply agreements as a first point of contact to Procurement and Supply Chain VP in the Region and strong partnership with in market Legal Directors.
  • Legal Partner with global real estate VP on all new property assets, land disposals or acquisitions to support the AMEA Regional growth strategy.
  • Owner of the overall Contracts Centre of Excellence and Contracts Management Tool.
  • Responsible for digital transformation project of all legal aspects of the contracts CoE including new software roll out and key lawyer in the Region deploying Global legal initiatives alongside Transactions Global VP.
  • Developing and maintaining the AMEA legal university framework seeking to upskill commercial stakeholders and legal talent on developments of the law and evolving regulatory environment in the multiple markets AMEA does business.
  • Develops legal talent including and beyond direct reports.
  • Lead lawyer for AMEA on the Global Transactions practice group.
  • Lead legal support to AMEA Project management Function and key partner for AMEA PMO Snr Director including leading the legal aspects of IT transformation initiatives.
  • Responsible for Region wide training calendar of all staff (AMEA wide) on key aspects legal aspects including but not limited to Competition law, Contracting law and corporate transactions guidance in line with Kellogg global delegation and approval.
  • Custodian and Owner of the AMEA contracting policy and supporting playbooks.
  • Leads an efficiency project looking for continuous improvement of the contracting templates, key terms, responsible for owning regional precedent to be utilised in every AMEA market and providing value-add to commercial partners.
  • First point of contact for negotiated recoveries from insurance and suppliers alike for contract breaches.
  • Support to regional finance controllers on corporate controls and key legal contact to GBS.
  • Company Secretarial work and support for Tax projects for multiple AMEA registered legal entities and their investments in global markets including set up of new Legal entities and corporate structuring.
  • Lead lawyer on the AMEA International trade sourcing strategy, guiding senior leaders on sales strategy and business growth opportunities across the continents.
  • Leads company secretarial work for the AMEA Region including set up of new Legal entities and corporate structuring and Support to Internal Audit and Tax Senior Director. Provide counsel and legal analytical skills to Audit and Compliance team for AMEA over enterprise matters.
  • Responsible for maintaining precedents and contract optimisation on both buy and sell side transactions, particularly on multi-territory suppliers.
  • Leads all intercompany contract negotiations and maintenance of all corporate contracting resources deployed in AMEA.
YOUR RECIPE FOR SUCCESS
  • A commercial lawyer with at least 12 years of experience on a leadership team dealing with senior executives, with at least 6 of those years in a senior legal role.
  • Law degree and current certification to practice law.
  • Strong academic background.
  • Transforming the role of the Transactions Legal Director and the Contracts CoE into a High Performance, value generator for the AMEA region.
  • Technical excellence on legal contracting. Strong contract negotiation skills with an astute commercial acumen. Self-directed handling of critical projects with little oversight
  • Professional with prior FMCG experience with experience in multi-jurisdictions preferable.
  • Seeking a strong international legal professional with the ability to partner well with Senior Execs, VP\xe2\x80\x99s, and Peers regionally and globally with an appetite to expand the role and grow within the organisation.
  • A keen interest in working in a regional role across a wide APAC, Africa and Middle East Geography with ability to understand alternative legal systems and engage with a wide breadth of areas of law.
