The Role
Reporting to the Manager in the Company Secretariat division (based in Kuala Lumpur) this role is a hybrid-role supporting the function\xe2\x80\x99s Business Controls Officer (\xe2\x80\x9cBCO\xe2\x80\x9d) while also working as a practicing Company Secretary within the Asia region.
This role will play a critical role in supporting the function\xe2\x80\x99s roll-out of the global control framework and assurance activities. This role will also contribute to the LSEG Company Secretary Team\xe2\x80\x99s mandate to ensure that the implementation of corporate governance requirements are met and that appropriate legal and statutory compliance is maintained for the Group through the provision of extensive Board, Governance and Administrative support to a portfolio of the Group\xe2\x80\x99s subsidiaries and colleagues within the Company Secretariat team.
This position would be ideal for a committed and dedicated Company Secretary and/or Lawyer who is looking for a challenging role early in their career within a driven and friendly team environment.
Key Responsibilities
Risk and Policy Responsibilities
Review any changes to internal group-wide policies and assess impact to Company Secretariat; assist in implementing new or changes to group-wide policies.
Ensure compliance with LSEG\xe2\x80\x99s Enterprise Risk Management Framework (\xe2\x80\x9cERMF\xe2\x80\x9d) taking into consideration risk life cycle (risk identification, risk assessment, risk monitoring, risk mitigation and reporting).
Supporting the BCO in promoting an appropriate risk culture within the Company Secretariat function.
Driving the delivery of the annual cycle of risk activities for the Co Sec function including: the Risk Controls Assessment, Updates to Risk Inventory and Metric Stream.
Key liaison with MetricStream team (LSEG\xe2\x80\x99s central GRC tool).
Supporting the internal controls assurances processes, including monitoring and reviewing of the function\xe2\x80\x99s control enhancement plan.
Support the monitoring and reviewing of any internal audit or review findings.
Horizon scanning for changes across the Group to ensure impact is considered as part of regular risk assessment.
Company Secretarial Responsibilities
Providing an efficient and effective company secretarial and administrative service for key subsidiaries in the Asia region including scheduling meetings, drafting agendas, preparing board packs, taking minutes at meetings and following up on actions.
Assisting in statutory administration of subsidiaries in Asia region including maintaining statutory records, responsibility for appropriate filings with local registries and updating the Group\xe2\x80\x99s database (GEMs) with any changes.
Assisting the year end statutory accounts process for subsidiaries located in Asia region including the review of subsidiary accounts and financial documentation as required throughout the year.
Record keeping and responding to legal, regulatory and other external information requests, second line reviews and internal audits.
Dealing with correspondence, collating information, and writing reports/board papers; ensuring decision made are agreed with and communicated to the relevant company stakeholders.
Experience and Skills
Strong team player who is able to provide support to the team.

Excellent organisational skills.
Familiarity with risk management process.
Ability to understand complex issues outside their experience and expertise and facilitate resolution across multiple functions/managing across boundaries.
Autonomous. Able to handle projects independently without much supervision.
Able to work well with other departments and develop good working relationships across the business at all levels.
Solid experience of preparing resolutions and related paperwork for subsidiary corporate actions.
Solid experience taking Board or Committee minutes.
A university degree or equivalent.
A qualified company secretary and/or lawyer.
Advanced IT skills, Word, Excel, GEMs and Diligent. Working knowledge of Metric Stream is also desirable.
