Job Description


What you are expected to do: To handle and resolve all legal, regulatory compliance and corporate/commercial issues for one of the region\'s largest credit reporting agencies. To perform the role of a legal counsel in securing CTOS Group\'s interests at all times. To constantly support CTOS Group\'s business operations and broader objectives. Key Responsibilities: 1) Legal To engage and collaborate cross-functionally and effectively with internal stakeholders. To effectively understand the needs of internal stakeholders and the business in order to provide proactive legal partnering on all aspects while effectively managing relevant legal risks. To assist in managing, reporting and continuously improving the overall contract management system. To assist in drafting, reviewing, and negotiating a wide variety of contracts and contract templates such as product and services contracts, confidentiality, material sourcing, licensing, consultancy, distribution, collaboration, partnerships, and other varied commercial arrangements with domestic and international entities. To assist in monitoring the performance timeliness, preparing report and updating on all assignments handled by external counsels in order to ensure cost effective, high quality, pragmatic and timely legal advice. To assist in reviewing, advising, updating, managing and report on all claims, disputes and litigation and defend the Company and its group against such claims, disputes and/or litigation. To conduct research and update the Department on changes in laws to ensure that the Company and its group transactional structures, documentation, policies and contract management processes remain current, commercially appropriate and effective. To assist in developing and maintaining relations with key external stakeholders to ensure the Company\'s interests are well-represented. To prepare, update and manage internal reports, policies, standard operating procedures, checklist and work status. To handle any other tasks as may be assigned by General Manager of Corporate Legal Affairs from time to time. 2) Regulatory Compliance To assist in identifying, proposing, reporting and managing opportunities to develop and improve, and accordingly lead in the implementation and promotion of any various legal and regulatory compliance initiatives and standard operating procedures etc To assist in advising and monitoring continuous legal risk and regulatory compliance management and awareness of the business efficiently which includes, auditing, creation of knowledge database, and providing trainings to internal and external stakeholders from time to time. Regulatory Compliance includes without limitation laws and requirements pertaining to credit reporting agencies, personal data protection, anti-bribery, competition, financial services, BURSA main market listing requirement and others i.e Work closely with the Risk and Business Compliance Team and other Business Units on any regulatory legal risk matters To assist in advising, drafting, reviewing and coordinating on any regulatory related correspondences. To assist in preparing, updating and managing internal reports, policies, standard operating procedures, checklist and work status reports. To assist in any other tasks as may be assigned by General Manager of Corporate Legal Affairs from time to time. What qualifies you for the role: LLB (Hons) 2nd Upper preferred. Advocate and Solicitor/Peguambela & Peguamcara, Malaysia (or equivalent such as commonwealth jurisdiction barristers or solicitors). At least 5 years of working experience in Financial Institution/ MNC/PLC handling corporate legal function ranging from corporate exercises, contracts management, product and services development and litigation or combined practicing lawyer and in-house counsel experience with minimum 7 years PQE. Well experienced in advising and handling legal matters concerning the legislation applicable to the business and operation including the Credit Reporting Agencies Act 2010 (CRA), Personal Data Protection Act (PDPA), Central Bank Act, Financial Services Act and BNM guidelines, Communications and Multimedia Act, Competition Act, Capital Markets and Services Act, BURSA Main Market Listing Requirement and others. Experience or familiarization with CRA and/or PDPA is essential. Experienced in handling contracts, negotiations, legal opinions and legal disputes. Able to lead in negotiating / securing best commercial position for the Company whilst applying the law and taking cognizance of other relevant factors. Past working experience in handling and/or managing litigation, potential litigation and strategic dispute resolution. Willingness and ability to negotiate and contest opposing parties, to think commercially and formulate solutions to complex commercial situations. Experience in monitoring and managing external counsels. Analytical thinking in evaluating and advising on legal issues and legal risks, resourceful, self-motivated, independent and able to multitasks in lean organizational structure. Meticulous, organized tasks master and able to adapt to fast pace and demanding environment. Proficiency in English and Bahasa Malaysia is mandatory. Ability in other languages would be an advantage.
