Company Secretary reports to the Head of Legal and is responsible in contributing to the delivery of Company Secretariat activities, prepare documentation and perform related administration and logistical activities and contribute to Company Secretariat policies, processes and operations

Your duties include but to limited to the following:

Responsible for all company secretarial matters of the Lendlease companies and joint venture entities which includes the drafting and finalisation of directors and shareholders resolutions and such other documents as may be required from company secretarial perspective.

Liaising with Lendlease Group Secretariat on all company secretarial matters that involves Lendlease Asia entities and Lendlease Australia entities.

Responsible for the preparation and filing of the necessary documents with Companies Commission of Malaysia ("CCM") including but not limited to the change of directors, allotment of shares, annual return and such filings as may be required to be submitted to CCM.

Responsible in keeping track of the timelines for the fillings with CCM.

Assist with the preparation, review and consolidation of board papers and facilitate preparation of

board meetings, and support communication, analysis and review activities to support informed decision making and compliance with legislative and organisational requirements and assist Head of Legal, Malaysia in ensuring corporate governance procedures are met. Work closely with the management team to ensure a smooth process for the board meetings.

Support the business by providing corporate information relating to the companies to the business. Attend board and shareholders' meetings and take minutes of meeting.

Perform administrative and logistical activities, which may include diary management, travel arrangements, video and conference meetings to support the delivery of Company Secretariat operations.

Gather information and appropriate metrics for reporting and collect, input and update data to maintain databases and confidential files to provide accurate information in compliance with legislative and organisational requirements.

Coordinate and cooperate with cross jurisdictional company secretarial teams within the Lendlease Group for all related company secretarial matters.

Keep track of legal and corporate secretarial services related invoices and process them for payment.

Manage key relationships with the Directors and act as interface with board management.

To be considered for this role you must have:

Relevant company secretarial qualifications (MAICSA) and tertiary qualifications in either Business,

Business Law and/or Law, combined with a demonstrable intermediate level of role knowledge.

Must have at least 5 years practical experience in handling company secretarial matters, in the Construction and Property Development sectors.

Proficient in using MS Office, MS Word, MS Excel and MS PowerPoint

Good Interpersonal, problem solving, technical and analytical skills, detailed and systematic to support implementation and maintain relationships with key stakeholders. Meticulous and well organized.

Maintain positive attitude in handling challenges, ability to multi-task, handle stress and work on ad-hoc stakeholder's requests effectively.

Good command of spoken and written English. Must be good in communication skills in this role.

Able to work independently with initiative and must be proactive in finding solutions to issues.

Must be agile and have ability to adapt to changes positively.
