Job Description

:

Perform the corporate investment functions encompassing capital structure management, funding requirements and fund raising activities, financial evaluation for new project development and business expansion projects through merger and acquisition or divestment, foreign exposure arrangement, financial risk management, credit rating agency management and joint venture management for PCG Group to ensure optimum value creation and risk mitigation in line with business growth and new business opportunities of PCG Group (domestic and international). CAPITAL STRUCTURE
- Perform assessment of the financial strength and well-being of PCG and its wholly owned subsidiaries through evaluation of periodic financial review and valuation followed by recommendation / mitigation / intervention strategy (which includes business model, capital restructuring and financial liabilities restructuring).
- Facilitate effective capital structure strategy by developing the project's and PCG Group funding strategy, optimum capital structure and business model in line with the approved budget, established PETRONAS and PCGB financing policy and long term corporate goals and direction.
- Consolidate reporting of debt for PCG Group to ensure compliance to debt covenants at all times, for both external and internal loans.

FINANCING
- Perform comprehensive analysis of the consolidated inputs for the annual financing plan in line with the approved budget and the established PETRONAS/PCG financing policy and long-term corporate goals and direction in order to support PCG growth and expansion.
- Monitor existing financing facilities in place and proactively identify future additional financing requirements by PCG and its subsidiaries.
- Facilitate fund raising activities for PCG Group for all transactions and projects from equity and/or debt market by providing advice on prime time to enter equity/debt market, identifying the appropriate type of financing (e.g. equity, shareholder loan, project financing, term borrowings, bond issuance etc.), process of securing corporate ratings from rating agencies in relation to the financing.
- Review and finalise financing facilities on behalf of PCG Group, including PCG JV companies.

INVESTMENT ASSESSMENT ON NEW PROJECT DEVELOPMENT
- Facilitate any new project development opportunities being pursued or developed by PCG and its subsidiaries (for greenfield and brownfield) by providing independent and objective review, assessment, analysis on the assumptions used, insights, views and recommendations for PCG Management's consideration in order to support the realisation of the projects that could impact PCG growth.
- Perform financial review (including peer review) of any new project development opportunities (for greenfield and brownfield) by guiding towards effective financial valuation strategy and sensitivity analysis to support PCG Management's decision making to ensure only value creating projects are pursued by PCG.
- Review price/cost revision between PETRONAS and PCG subsidiaries as to rationalise the financial impact and ensure it brings value to all parties.

FINANCIAL MODELLING
Develop and peer review M&A and divestment valuation model (from Non-Binding Indicative Offer up to Binding Offer) which can be enhanced and tested under various scenarios and sensitivity analysis through continuous evaluation and analysis in order to ensure recommendation on the valuation range are made to guide investment decisions by PCG Management, to support PCG growth agenda and portfolio management and to provide insight to PCG Management on potential impact to the PCG Group.

ANNUAL INTEGRATED PORTFOLIO MANAGEMENT EVALUATION
Carry out assessment and assist to analyse PCG Group portfolio via Integrated Portfolio Model ("IPM") through comprehensive analysis of the consolidated inputs in line with the approved budget, for the purpose of PCG portfolio management evaluation.

JOINT VENTURE MANAGEMENT
- Perform assessment of the financial strength and well-being of PCG's joint venture ("JV") through evaluation of financial review and valuation followed by recommendation / mitigation / intervention plans (which includes business model, capital restructuring and financial liabilities restructuring).
- Facilitate any new business opportunities being pursued or developed by PCG JV companies by providing independent and objective review, assessment, analysis on the assumptions used, insights, views and recommendations for PCG Management's consideration in order to support the realisation of the projects that could impact PCG value in the JV and overall PCG growth.
- Perform financial review (including peer review) of new business opportunities proposed by PCG JV companies by guiding towards effective financial valuation strategy and sensitivity analysis to support PCG Management's decision making to ensure only value creating projects are pursued by PCG.
- Review of commercial/operational agreements which include any price/tariff/costing assessment/revision, analysis of options available and impact to PCG and respective PCG JV companies, to support PCG Management's decision making to ensure PCG's interests are protected.

MANAGE MERGER, ACQUISITION & DIVESTMENT
- Facilitate any new M&A opportunities being pursued or developed by providing independent assessment on the assumptions used, insights, views and recommendations that could impact PCG growth.
- Perform financial due diligence for projects, M&A, divestment, company/asset structuring/re-structuring and valuation of projects or target in local/international establishments and operations by guiding towards an effective financial evaluation strategy to support decision making and monitoring the impact to PCG's business value.
- Ensure all key issues and risk are identified and risk mitigation plans are developed to ensure calculated investment decisions.
- Facilitate and provide guidance within the cross functional team consisting of members from PCG internal team, PETRONAS corporate team (i.e. including M&A, Group Corporate Finance, Group Legal etc.) as well as external consultants and advisors in the development of strategies and plans to execute corporate-type mergers, acquisitions and divestment (M&A) opportunities/deals sanctioned by PCG Management to ensure successful completion of the deal.
- Facilitate PCG Finance team on specific M&A transaction related process including preparation and review of proposals, bid documents and negotiations and finalisation of legal documentation such as sale & purchase agreements, shareholders agreements etc.
- Facilitate completion process of the M&A transaction mainly for obtaining relevant funding (internal or external financing) & funding approval (including from regulator/Bank Negara Malaysia ("BNM"), if applicable) and execution of payment (for acquisition)/receipt of payment (for divestment).

CREDIT RATING AGENCY MANAGEMENT
Prepare reporting and presentation package for the credit rating agencies by ensuring the information presented by PCG Management to the agencies is complete to support PCG's agenda in obtaining favourable rating.

STATUTORY AND REGULATORY COMPLIANCE
Enforce statutory and regulatory compliance in all corporate investment activities undertaken for OPUs and projects under PCG Group by reviewing and recommending resolutions to compliance issues in relation to all statutory and regulatory requirements (e.g. BNM, Securities Commission ("SC"), Foreign Investment Committee ("FIC"), Ministry of International Trade and Industry ("MITI"), Malaysian Industrial Development Authority ("MIDA"), etc.) in order to address any gap and prevent non-compliance with regulatory requirements.

TAX
- Facilitate transfer pricing planning for PCG Group (including international offices) by developing and maintaining sufficient transfer pricing documentation on a contemporaneous basis. This includes yearly updates on transfer pricing documentation to comply to statutory requirements and assessing new or changes in functions of the business entity where new transfer pricing documentations are required to be developed.
- Facilitate statutory compliance of estimated tax payables ("ETP") and the assessment of group relief for PCG Group of companies.
