Reporting directly to the General Counsel Asia-Pacific, the Legal Counsel will directly provide high-quality and pragmatic legal support to the 3 Business Areas of the Imerys Group present throughout the India and SEA-ANZ region. This is a great opportunity for an outwards-looking lawyer with good commercial law fundamentals to develop his/her experience and to join a MNC with career plans to grow in the APAC region in the field of negotiation of commercial contracts, company secretarial and corporate governance, project-based legal support such as to M&As/restructuring projects and dispute resolutions. Key Tasks And Responsibilities Provide support to Imerys businesses in the region on all areas of commercial in-house legal practice: draft, review, negotiate all types of commercial contracts and similar documentation (including NDAs, sales, purchasing, consultancy, agency/distribution, real estate, construction contracts, as well as MOUs, offer letters, performance bonds etc.), as well as develop or update contract templates or adapt existing templates to local requirements help resolve significant commercial claims and take lead in dispute resolutions, select and manage external lawyers, supervise and coordinate with business team to collect facts and evidence, set and execute litigation strategy, keep everyone informed, etc. advise on day-to-day legal issues faced by the businesses and alert business teams to legal and regulatory risk assist/liaise with Group Insurance Dpt. and local brokers for insurance claims and queries. Act as compliance point of contact for the region: assist in training exposed business teams, ensure implementation of Group programs, advise on simple compliance-related issues (with support from Group Compliance team). Take responsibility for and coordinate corporate governance matters, including (1) managing the network of company secretaries / corporate compliance service provider to carry out basic corporate compliance matters and (2) assist corporate aspects of acquisitions, internal restructurings and creations of new legal entities. Support APAC General Counsel in liaise with external consultants to manage corporate restructuring projects as needed Any other ad hoc projects and assignments that may warrant the involvement of an in-house lawyer. The Keys To Success In This Position Are Sound knowledge of fundamental principles of contract and business law Ability to work autonomously with a demonstrated practice of providing day-to-day business legal advice, with good critical thinking and creative problem-solving abilities Willingness to work hands-on with limited involvement of outside counsel Dynamism and proactive approach to work, with a pragmatic and pro-business view of legal issues Capacity to communicate well with clients and stakeholders with no legal background Mutual fit with and confidence of the General Counsel Asia-Pacific. JOB SPECIFICATIONS Bachelor\'s degree in law from a reputable law school bar qualification in Singapore or Malaysia or Thailand is a plus. 3 to 5 years of broad-based commercial legal experience (in-house legal department of an industrial MNC is preferred) fluency in business and legal English (speaking and writing). Language skills in Thai, Vietnamese or French would be a valuable additional asset Experience in international trading laws is a plus but not a requirement.
