About The Role:

Legal Director oversees the activities of the Operating Centres it is responsible for. The Legal Director provides legal advice, interpretation and guidance regarding contracts, statutory requirements, intellectual property or trademark protection and other business matters.

The Legal Director, by having excellent drafting and negotiation skills and business sense, shall cover tender reviews, contracts qualifications, active contracts: negotiations, preparation and negotiations of partnership agreements (e.g. JVs and Consortia) as well as providing support, in coordination with the other relevant functions, to insurance, trade control and anti-corruption compliance activities and dispute resolution and litigation matters including having strong background and experience in corporate laws and in handling corporate matters. The Legal Director shall also provide all the necessary support for all Ethics/ Compliance and Contract Management activities for the Operating Centres.

In addition, the Legal Director will also provide legal expertise and leadership to other functions and departments within the relevant Operating Centre such as Procurement, Subcontracting, Finance & Tax, Administration, Tendering, etc. and advise peers and management on legal risks and business strategy.

The Legal Director shall ensure that his/her scope, as well as the activities of the Operating Centre to which he/she participates, are carried out in compliance with the applicable Company\'s rules and standards and shall be responsible to champion and implement all relevant procedures and processes to such effect.

The Legal Director shall be able to work both independently and have strong management skills to lead a Team including working as part of various teams and to take on special projects and assignments in addition to the daily job.

• Fast paced environment
• Multitasking on various concurrent tenders, projects and assignments
• Numerous internal and external interfaces, requiring a flexible and multidisciplinary approach
• Work on complex energy projects, requiring proven experience on EPC type contracts and a deep understanding of their risks and mechanics, including partnering and subcontracting schemes, multi country execution, financing, insurance.
• Good leadership skills
• Good working knowledge of Company/corporate laws

Scope:

• Operating Centre : Based in Kuala Lumpur (covering also activities in Asia Pacific)
• Reporting: Direct reporting to the VP Legal

Job Accountabilities:

• Management of the Legal department, comprised of Legal counsels.
• Corporate laws.
• Review, qualify, draft and negotiate both simple and complex contracts with domestic and international clients as well as other types of agreements such as joint bidding agreements, joint venture agreements, consortia and other types of contractual documents and agreements used in the oil & gas and energy industry in compliance with the Company contracting principles.
• Participate to and/or lead contracts negotiations with clients and partners.
• Act as business partner vis a vis peers and management both within the legal function and other areas of the Operating Centre and the broader Company, providing legal advice and support, anticipating and managing legal risks associated with the business strategy and operations.
• Ensures claims and disputes are handled in such a way that minimizes risks and is cost effective.
• Provide support on ethics & compliance issues, ensuring that the Company policies and procedures are adhered to.
• Participate in managing litigations for the organization.
• Manages regulatory issues for the organization.

Profile Requirements:

Must Have

• Bachelor of Laws
• 8 to 10 years of similar legal experience in national and international top tier contractors or clients
• Relevant experience in Company/ corporate law
• Relevant experience in Construction or EPC agreements
• Strong written (including contract/ legal drafting) and oral communication skills in English
• Ability to deliver high-quality work under deadlines
• Ability to multitask
• Ability to work effectively with people across a wide range of levels and responsibilities
• Management experience

Nice to Have

• Experience in Oil & Gas industry
• Experience in renewable energy sector
• Experience in Project Finance
