- to understand (i) legal issues; (ii) interpretation of laws; and iii) terms and conditions of contract; and
- in drafting, reviewing and negotiating terms and conditions of any transaction to be entered by the Company to ensure such terms are tailored to the need of the Company with a view to obtain the best commercial arrangement without affecting the interest of the Company and to any mitigate risk exposure to the Company, if any; and
- in structuring the business transaction, to ensure clarity and sufficiency of structure for implementation and operation.DISPUTE RESOLUTIONSTo manage, monitor, review and co-ordinate the Company's approach towards dispute resolution proceedings including liaising with and supervising external legal counsel.COMPLIANCETo manage, monitor, review and implement the appropriate framework to identify and monitor internal compliance (i.e contractual obligations and corporate governance) and external i.e. statutory) compliance including;
- highlighting the Company of all internal requirement to be complied with;
- updating the Company of all relevant statutory requirements to be complied with; and facilitating the Company in complying with such internal requirement and statutory requirement by providing related advice regarding the action and measures necessary to secure/facilitate compliance with such requirementsGENERAL ACCOUNTABILITIES
- To manage, monitor and review the implementation of legal framework (including policies, procedures, manuals and templates) and sourcing of services with a view to optimize organisational efficiency regarding legal matters;
- To direct and oversee the junior counsel;
- To maintain professional growth and development through seminars, workshop and professional affiliations to keep abreast of latest development in relevant laws; and
- To undertake training to relevant personnel of the company in order to facilitate them to understand legal issues and compliance issue
- To adhere and fully comply with the Anti-bribery policy and Anti-bribery management system.
- To undertake any additional assignment as instructed by the CompanyRequirementsQualifications- Educational qualification - degree in law from accredited law schoolExperienceRelevant experience - at least 5 years post qualification experience. experience (i.e. practicing as advocates & solicitors) and familiar with a variety of legal concepts, practices and procedures including :-
- Finance transactions (financial services, capital markets)
- Property dealing transactions (sale & purchase, lease, tenancy, licensing, alienation, compulsory acquisition, amalgamation and subdivision) ;
- Property development transactions (joint land development);
- Infrastructure development transactions (construction, project management & project implementor);
- Commercial transactions (services, consultancy, agency, management, operation, maintenance, collaboration and concession);
- Corporate transactions (mergers & acquisition and corporate secretarial
- IT transactions (software/system development & maintenance);
