Job Description


As an in house senior legal executive for the company and its subsidiaries reporting to the Legal & Compliance Director and Company Secretary on all legal and compliance related matters and to assist the Legal & Compliance Director and Company Secretary on company secretarial matters. Draft, vet, peruse and provide legal advice and opinions on all forms of agreements, letters, proposals, contracts and other documents on areas of law and compliance, including but not limited to commercial and corporate matters, intellectual property and litigation. Carry out legal research when required (Malaysia and Singapore). Provide support to Procurement, Sales and Marketing on contract negotiation. Monitor, coordinate and handle litigation matters, including but not limited to adhering Management instructions, liaise and prepare written instructions to external lawyers Taking instructions from Management on all intellectual property and trademarks matters. Monitor all Sales Depot Tenancy Agreement, including Permits and Licenses renewals in the Statutory Checklist. Corporate Secretarial Assist in the preparation of annual reports that include compiling and providing information as required Carry out research and monitoring of relevant laws on corporate governance and listing requirements of Bursa Securities Assist in the preparation of Board Files and Board Resolutions, company forms & memos and other co sec documents. Monitoring Corporate Governance and Compliance issues, liaising with regulators (Bursa Securities, Securities Commission) on amendments to Listing Requirements and the relevant laws Assist in the preparation of announcements and company returns to CCM, MBRS and Bursa. Assist to peruse and process bills from external consultants. Liaising with Board of Directors, external co sec, share registrar, Bursa Securities, Corporate affairs dept, and other relevant parties on all company secretarial related matters. Assist Company Secretary in the maintenance and upkeep of Company Secretary files and statutory registers Compliance Area Roll-out new policies introduced by the Group to the relevant employees, coordinate and conduct training(s) on legal topics, new employee orientation session, in-house policies to various business units and support functions. (Competition Law, PDPA, Code of Ethics and Conduct) Ensure business operations are in compliance with relevant laws and create awareness of any new regulations. Microsoft SharePoint To maintain and update the Share point platforms with the latest templates, Directors\' Circular Resolutions, Agreements and documents requested to be uploaded by business unit. Requirements Degree in Law with at least 4 years\' working experience in Legal practice / inhouse Legal and Compliance role Strong proficiency in MS Word, Excel, PowerPoint and Outlook Good command of written and spoken English & Bahasa Malaysia Matured, independent and results oriented Strong integrity and able to meet tight deadlines Possess strong organisational skill, meticulous with a high level of confidentiality Pleasant personality with good interpersonal and communication skills Able to conduct legal and compliance training.
