Who are we looking for?

The Licensing-Out function has the role of monetizing our Org\'s process technologies and patents by means of selling technology licenses to our Org\'s affiliates, JV\'s, growth
projects as well as to third parties. In case of growth projects the Licensing Out team typically provides the project team (or future JV partner) Technical and commercial
proposals for the relevant technologies. In case of a JV the incumbent negotiates with the JV partner. For certain technologies a base platform is required on which our Org\'s
technology is licensed. Typically Licensing Out also negotiates the in-licensing of these platforms, so as to be consistent in the offering to the licensee. In case of third party
licensing, typically our Org is approached to bid for certain licensing opportunities. After having aligned and having received consent from the relevant BU, a negotiation is
started. In many cases the opportunity to license is combined with a request to our Org to participate with equity. For all technologies that are licensed that require a catalyst
the incumbent, in liaison with BU T&I, the catalyst business and procurement offers a catalyst. The same applies for proprietary equipment. In all cases the incumbent aligns
with legal for the right legal entity, tax and liability structure.

Qualifications

  • Degree in Chemical Engineering field is preferred.
  • 9-15 years of experience in manufacturing, technology or a sales job is preferred.
  • A commercial mind and an affinity with IP legal matters is required.
  • Possess high assertiveness/negotiation skills.
  • Demonstrates strong interpersonal, communication, and presentation skill.

Duties and responsibilities

  • Independently leading complex mega projects and its Licensing-out workflow with key stakeholders internally and externally throughout its different stages
    until agreement has been signed upon which handover to implementation is managed. Leading the negotiations of various process technologies both related to
    commercial and well as technical content, while securing the relevant guarantees and liability profile. Leading the alignment between various licenses if so
    required. Deliver agreement summaries for the review and approval of Licensing-Out leadership.
  • Governing and managing the enforcement of appropriate Licensing-Out workflow, record keeping, IP protection, procedures and processes, and when needed
    creating procedures or initiating procedures modifications (e.g. ECM, AMS, Licensing-Out Procedure, Firewall). Managing and reviewing requests through AMS
    or any other systems as per MAS of all relevant parties. Governing the Licensing-Out workflow from request initiation until signing. Lead and manage the
    archiving and references availability in the ECM and other reference systems to include NDAs, LA/EAs, Service and Study agreements, critical communications
    and proposals that Licensing-Out is responsible for as per the workflow. Select and enforce appropriate contamination protection tools during Licensing-Out
    workflow for the protection of our Org IP and key personal/technologies.
  • Coaching licensing Managers and Sr. Engineers in complex mega, site projects and services as well as NDA activities. Assessing all Licensing-Out staff capabilities
    and competences and generating appropriate development requirements for each member. Govern the tailored development programs/activates per licensing Out Manager and Sr. Engineer competency level for each of the following: Project complexity risk matrix, Technology integration best practices, negotiation
    skills and typical fallback positions, agreement drafting and deviations tracking, methods of reporting deviations to management, understanding of various
    terms and conditions criticality, commercial and contractual evaluation methodology, benchmarking, reporting and engaging at different licensors structures.
  • Initiating, managing and monitoring MSAs with the internal stakeholders and with key technology partners. Govern the appropriate MSAs use and mobilization
    around the Org and its affiliates as a subject matter expert while conducting the needed analysis for selecting the correct category of confidentiality, allowing
    for agile opportunity capture. Oversee the business need for initiating a new MSA while conducting the required evaluation with Procurement and all relevant
    stakeholders. In collaboration with procurement and IP legal, lead the negotiations to deliver the best IP terms and conditions that will govern all future
    services.
  • Leading engagements with internal functions as a Licensing-Out expert focal point (e.g. Audit, EPM, BU, B-T&I, Procurement). Lead and govern the required
    clarifications and inputs needed from the Audit and review functions internally and externally. Lead and manage the coordination with E&PM with all relevant
    intervals between the functions as it relates to engineering deliverables or as applicable. Guiding the alignment of the expectations of the BU/Licensing-In
    activities in terms of project strategy, industry best practices, timeline and costs as appropriate. Guiding B-T&I in the technology screening activities as to
    ensure its compliance with the overall technology selection process. Ensure the allocation of the appropriate B-T&I focal points for each technology. Lead the
    engagements with Procurement regarding exclusions of FEED/EPC contractors, catalyst/proprietary equipment term sheets.
  • Facilitating and leading 3rd party engagements for internal stakeholders while maintaining records. Governing the engagements with Licensees in regards to
    internal process technology improvements while ensuring no contamination to SABIC IP occurs and when appropriate leading the contractual implementation
    of such improvements. Lead the engagements with licensees as they display new technology portfolios to our Org and its affiliates, this will include IP protection
    methods selection and rollout as per the evolution of the Sr. Licensing Manager in coordination with relevant stakeholders.
