The day-to-day activities: Responsible for providing legal, regulatory, compliance, governance and contractual advice to the Digital Bank. Establish and ensure smooth operation of digital banking business, businesses with particular focus on regulatory matters, contract review and negotiation, and governance matters. Assist the Board to comply with legal and regulatory requirements and advise the Board on all matters of company administration. Assist in the implementation of corporate strategies by ensuring that the Board's decisions are properly carried out and communicated, and to communicate with Board and shareholders on all relevant matters. Work closely with the Board and accountable for business ethics and good corporate governance of the Bank, including on establishment, conduct, documentation of board, shareholders and management meetings and approvals in compliance with statutory obligations. Ensure lodgment and filing of all necessary documents for the Board and shareholders. Responsible for the management of legal risks on the development and operations of the Digibank, including partnering with cross functional teams to identify, analyze and mitigate risks for the Digibank in relation to business initiatives, projects, operations and new products. Advise on retail, corporate and SME banking and financial services regulatory licensing and compliance across business units, with an emphasis on banking regulations, credit card association rules and advertising, marketing, and consumer protection laws related to such products and services. Assist in the development and maintenance of applicable compliance programs Legal advocate for the Bank in relationships and interactions with third parties, including strategize, advise, draft, review and negotiate on a broad range of agreements and public facing materials and communications Management and legal advisory on protection of Bank's and third party assets including on global IP strategy, IP portfolio management and data privacy and protection. Management of dispute resolution for the Bank including claims, investigations and litigation with employees, customers and other third parties. Ensure compliance with legal and governance requirements for corporate activities of the Bank including corporate acquisitions, divestments, joint ventures, incorporations, business carve out, restructurings and shareholders distributions including determining, manage process and obtain necessary approvals for the acquisitions/investments in major stakes and shareholding of Digibank and related party transactions Coordinate and work with a cross-functional team including counsel counsels to develop and implement regulatory strategies and assist in regulatory submissions for regional activities. Develop pro-regulatory strategies to engage and work with legislators and government in various countries on license applications and to provide inputs on new legislation and regulatory frameworks. Interface as necessary with other business support teams within the Group, such as finance, tax, accounting, and human resources Research legal issues and drafting memos as appropriate Provide timely, concise and business-focused legal advice on financial services and banking laws and licensing requirements Represent Bank's interests and interface directly with regulatory agencies and external counsel, as appropriate Supports Public Affairs in responding to relevant legislative and regulatory proposals Instruct and manage external advisors and counsel, as necessary Provide legal and regulatory guidance on the products (design and modification), proactively identify associated risks and recommend mitigation strategies, review product user experiences to ensure legal compliance and proper disclosures Work closely with (banking/financial services) regional and country legal teams on banking and payments regulations and product design Support inter-department initiatives and devise legally compliant banking products. The must haves: At least 10 years of PQE experience, with minimum 3 years in private practice with a recognised law firm in Malaysia working in financial services plus a minimum 3 years' experience working in a bank Legal Dept in Malaysia. Solicitor admitted to practice in Malaysia. Corporate, legal and regulatory experience in banking and financial services in Malaysia. ICSA qualified and an associate member of MAICSA Familiar with the development and implementation of AML/CFT related compliance requirements
