Job Description

The position is for Vice President of Governance and Projects (GnP), a unit under Group Company Secretarial Division. The incumbent will report directly to the Head of GnP and has overall view of all tasks and projects undertaken by GnP. The incumbent will assist the Head of GnP and/or Head of Division in-

• advising CIMB Boards of Directors on their roles and responsibilities;

• monitoring corporate governance developments and in assisting the Boards in applying governance practices;

• ensuring the Board Charter(s) and Board Committees\' terms of references, policies/framework pertaining to Board Governance are adhered to;

• devising, reviewing and/or implementing Board governance/governance-related framework/ projects.
  

Leadership Traits Able to foster professional relationship with the team members and motivate them to achieve tasks/ projects\xe2\x80\x99 goals by being action-oriented leader and always be there for team whenever they need. Good communication and writing skill is a must for this role. Able to construct project/execution planning and monitor team members\xe2\x80\x99 deliverables. Able to add value, distill the visions and communicate vision and missions to the team/stakeholders for execution. Possess the critical thinking to come up with impactful ideas and practical solutions in the provision of advisory and/or devising new and/or updating governance policies/framework. Embody agile and flexible mindset in approaching and tackling challenges. Diligent, detailed and prompt in the task execution.
Technical Competencies The key competency is a good grasp and understanding of technical/legal requirements and excellent knowledge in the Companies Act, Malaysia Code on Corporate Governance, Bank Negara Policy Document on Corporate Governance, Bursa Listing Requirements and international best practices related to corporate/Board governance. Working experience in the formulation and/or in the operationalization of the corporate governance and/or governance-related policy requirements at the regulatory bodies, financial institutions, legal firms and/or consultancy firms is an advantage. Good communication and excellent writing skill is a must for this role.
Job Requirements Possess a Degree from a reputable University. Have at least 5 years working experience in legal and/or compliance and/or regulatory advisory.
